1. Reservation

In order to secure the reservation for Services, Client must sign this Agreement and make a deposit equal to 30% of the Quote at the time of signing this Agreement. The deposit will be applied toward the total cost. The deposit is non-refundable, except as provided in Section 9 (Cancellation by Flowerhouse) and Section 21 (Limitation of Liability) of this Agreement.

2. Payment Terms

The remaining balance will be due 30 days prior to the Event date. Any balance not paid in full by 30 days prior to the Event date will accrue a $50 per day late fee. Flowerhouse will not deliver Services without full payment receipt. Payment can be made in the form of cash, check made out to Flowerhouse, credit card with a 2.9% surcharge, or Venmo to @flowerhouseseattle with confirmation phone number last four digits: 0036. Any returned checks will result in a $100 fee.

3. Venue Rules

Flowerhouse may be required to comply with rules or restrictions imposed by the venue. To the extent any of the venue rules or restrictions conflict with Client instructions, Flowerhouse will follow the venue’s rules. Negotiation of the contract with the venue and any rules or restrictions contained in the contract with the venue is Client’s responsibility.

4. Exclusivity

Flowerhouse will act as the sole floral designer for the Event. Client agrees that no other person or company, professional or otherwise, will provide fresh or artificial floral or foliage products for the Event.

5. Damage, Destruction or Theft

If any of Flowerhouse’s supplies or equipment are damaged, destroyed, or taken by Client, any of Client's invitees, guests, affiliates, friends or family members or any other person hired by Client in connection with the Event (including venue staff), Client will reimburse Flowerhouse for the total cost to repair any damage, including insurance deductibles (if applicable), or, in the case of destruction or theft, the total replacement cost of the lost, destroyed, or stolen supplies or equipment.

6. Dangerous Conditions

If, while providing Services pursuant to this Agreement, Flowerhouse encounters any treatment or conditions which have the potential to cause harm to or threaten the safety of Flowerhouse or any of its representatives in any way, or which are illegal, Flowerhouse reserves the right to terminate this Agreement without any further obligation to Client or any representatives of Client. Flowerhouse will be entitled to retain any payments made to date, and shall not be liable for any further performance under this Agreement. The Client shall indemnify, defend and hold harmless Flowerhouse from any damage or injury that Flowerhouse may sustain, arising from or related to any hazardous conditions which imperil or cause Flowerhouse or any of its representatives to fear for their safety while performing Services under this Agreement. This provision specifically includes harassment or mistreatment by the Client or their representatives at any time, or any third parties present at the Event. 

7. Governing Law

This Agreement and all controversies arising from or relating to performance under this Agreement shall be governed by and construed in accordance with the laws of Washington. The Client and Flowerhouse submit to the exclusive jurisdiction of the courts of King County, Washington with respect to any dispute arising out of or relating to this Agreement.

In the event that any provision of this Agreement is found by a court of competent jurisdiction to be unenforceable, in whole or in part, the remainder of this Agreement will remain binding and enforceable to the fullest extent permitted by applicable law.

8. Changes to Quote 

Changes to the Quote are allowed up to 30 days prior to the Event date. All changes must be made in writing to lauren@flowerhouseflowers.com and are subject to written approval of Flowerhouse. The Quote amount cannot be reduced by more than 10% from the original agreed-upon Quote before fees and taxes. No changes to the Quote will be permitted within 30 days of the Event.

9. Cancellations 

Cancellation by Client

Cancellation must be submitted in writing to lauren@flowerhouseflowers.com. The deposit is non-refundable, regardless of the circumstance. 

If Client cancels the Event for any reason within 60 days of the Event date, 25% of the remaining balance will be due upon cancellation.

If Client cancels the Event for any reason within 30 days of the Event date, 75% of the remaining balance will be due upon cancellation.

Cancellation by Flowerhouse

Flowerhouse may cancel the Agreement at any time for any reason. In this instance, Flowerhouse will issue a full refund to the Client (including the deposit).

10. Rescheduled & Relocated Events

Client must inform Flowerhouse of any change to the Event venue or Event date in writing to lauren@flowerhouseflowers.com

Flowerhouse will do its best to accommodate new dates or location changes, however Flowerhouse cannot guarantee availability on the new date or ability to perform the Services at the new venue.

If Flowerhouse is unavailable on the new event date, or is unable to accommodate the change of venue, the deposit is non-refundable. 

If Flowerhouse is available on the new event date, or is able to accommodate the venue change, the deposit made will be transferred to the new date or venue. A new contract and Quote will be created taking into account the changed circumstances. The new contract’s terms will supersede this Agreement.

11. Price Variations 

Flowerhouse may change the pricing in the Quote due to increased prices for the wholesale cost of goods or supplies including but not limited to flowers, foliage, vessels, and floral supplies. 

Any price increases will be advised in writing to Client at least 14 days prior to the Event date and Flowerhouse and Client will come to a mutual agreement regarding any changes before proceeding. 

12. Product Substitution & Availability 

All flowers and foliage are subject to seasonal quality and availability. Flowerhouse cannot guarantee availability or exact colors of specific products. Regardless of the availability of specific products, Flowerhouse will adhere to the agreed color palette and style of floral design, as shown in the design inspiration linked in the Quote. Refunds will not be given for variations in product type or appearance that do not affect the color palette or agreed upon floral design inspiration linked in the Quote.

Containers and vases may change based on availability by suppliers. To the extent possible, Flowerhouse will substitute products with items of equal value, in line with the overall look and feel for the Event. If items of equal value are unavailable, products of greater value will be substituted and the Quote revised to reflect the change in price. Substitutions will not exceed a 10% increase from the original agreed-upon Quote before fees and taxes.

13. Responsibility 

Upon delivery (or collection), Client assumes all responsibility and care for the flowers and designs. 

14. Rentals 

All rented items remain the property of Flowerhouse and are provided on a rental-only basis unless purchased by the Client. 

All rented pieces must be returned to Flowerhouse within 3 days following the Event date. Unbroken return of all rented pieces is Client’s responsibility. 

Client will be charged the full cost of replacement of each item not returned to Flowerhouse.

Lost, broken or damaged stock rented from Flowerhouse must be paid for in full, by the Client, as provided in Section 5 of this Agreement.

If the Event requires Flowerhouse to collect its rented items at the end of the Event, all flowers not collected by the Client will be forfeited, unless other arrangements have been made in advance. 

15. Photographs & Video Footage 

Flowerhouse retains the right to photograph all finished work and use photographs of the flowers in its marketing efforts. This includes, but is not limited to social media, websites, Pinterest, advertising, brochures, magazine submissions and other publications related to self-promotion and marketing. 

Photos taken by Flowerhouse of the arrangements remain Flowerhouse’s property. Flowerhouse’s photos are not to be reproduced, copied or edited in any way by Client or any third party without prior written permission. 

Flowerhouse reserves the right to hire an independent photographer to capture Flowerhouse’s work on the day of the Event. 

16. Installations & Large-Scale Designs 

It is the Client’s responsibility to advise the venue/events manager regarding the scope of designs. 

It is the Client’s responsibility to seek the required permissions from the venue to construct any hanging, suspended, or other large-scale floral installations. 

Flowerhouse will not be held responsible or liable for any instances where work cannot be completed and achieved due to a lack of permission or safety at the venue.

17. Supplying Vases & Structures 

If Client is providing vases and vessels, Client must ensure the vases and vessels are watertight and clean before providing them to Flowerhouse.

If Client is using an archway or ceremony structure not provided by Flowerhouse, it is Client’s responsibility to ensure it is securely anchored into the ground in anticipation of all weather conditions (wind, rain etc.). Client must arrange the set up of such structures with the venue, and, if applicable, communicate any requirements as to how and when such structures can be set up with Flowerhouse.

Flowerhouse will not provide refunds for any work that cannot be completed by Flowerhouse on the Event day due to faulty or unsafe materials provided by the Client. 

18. Privacy 

Flowerhouse respects the Client’s privacy. Names, Event date, contact details, order information, and pricing will not be shared. 

Client will not share the details of this Agreement and Quote to anyone without express written consent from Flowerhouse, by email from lauren@flowerhouseflowers.com.

19. Extreme Weather Conditions 

In the instance of extreme weather, Flowerhouse will put safety first and will follow government advice regarding any extreme weather event. Flowerhouse will not be held liable for the impact extreme weather conditions have on Flowerhouse's ability to safely perform the Services. 

Extreme temperatures and high winds have a dramatic impact on flowers. Flowerhouse will not be held responsible for damaged florals as a result of extreme weather.

20. Force Majeure 

Flowerhouse or Client will not be liable for any failure in performing its obligations under the terms of this Agreement due to circumstances beyond its reasonable control, including, but not limited to, natural disasters, acts of government, pandemics, war, strikes, or other unforeseen events that make performance impractical or impossible. 

In the instance the force majeure event results in the cancellation or relocation of the Event within 30 days of the planned date, and the Event is unable to be rescheduled or relocated by mutual agreement as per this Agreement (Section 10, Rescheduled & Relocated Events), Client agrees that Client will be liable for: 

i. The deposit; and 

ii. An amount equivalent to the cost of any flowers or materials purchased by Flowerhouse to meet its obligations under this Agreement.

21. Limitation of Liability

If Flowerhouse is unable to deliver the Services under the terms of this Agreement, liability is limited to the return of all payments received.

This Agreement sets forth the full and complete understanding between Flowerhouse and the Client with respect to the subject matter hereof and supersedes all prior representations and understandings, whether oral or written.
